products. A purchase of an Art of Sound product indicates that
you accept the terms of this license agreement. If you do not accept
or agree to all terms of this license agreement, do not proceed
with the purchase. The official language of this license agreement
is English. The communication language is English.

||
Art of Sound, as the
Licensor (hereafter the "Licensor"),
grants you, the "Licensee", a non-exclusive right
to use the purchased sound programs, samples and files (hereafter
called "soundware") at live performances and for making
musical compositions and recordings. The "Licensee" may
not distribute copies of this soundware or associated documentation,
or any copy thereof.

| Ownership and Transfer |
||
The "Licensee" owns the original or subsequently
stored soundware files, but the "Licensor" retains
the title and ownership of the soundware and all subsequent copies
of the soundware. The "Licensee" may not transfer the software
to another party (hereafter the "Transferee") without prior written
consent of the "Licensor". The "Transferee" shall be bound by the
terms and conditions of this Agreement. The "Licensee" may
not transfer, assign, rent lease, or sell the soundware except
as expressly provided herein. |

| Copyright |
||
This soundware and accompanying
materials are copyright (Registration Number: R54809/04/01/1 – copyright agency AURA – PONT s.r.o.,Radlicka 99, 150 00, Prague 5). Unauthorized copying of the soundware,
in whole or in part, is forbidden. Mixing, filtering, re-synthesizing,
or otherwise editing the soundware for use in another product
is prohibited. The "Licensor" retains all rights not
expressly granted. |

| Terms and conditions
|
||
This Agreement is in
effect until terminated. This Agreement will terminate automatically
without notice from the "Licensor" if you fail to comply
with any provision of this Agreement. You agree, upon such termination,
to destroy all copies of the soundware and documentation. Failure
to do so may result in severe civil and criminal penalties, and
will be prosecuted to the maximum extent under the law. |

| Acknowledgment |
||
You as the "Licensee" acknowledge
that you have read this Agreement, understand it, and agree to
be bound by its terms and conditions. You also agree that the Agreement
is the complete statement of Agreement between the parties and
supersedes all proposals or prior agreements, verbal or written,
and any other communication between the parties relating to the
subject matter of this Agreement

| Limited Warranty |
||
The soundware and accompanying written material
is provided "as
is" and without warranty of any kind. The "Licensee" assumes
the entire risk as to the results and performance of the soundware.
Should the soundware prove defective, the "Licensee" (not the "Licensor" or the soundware dealer) assume the entire cost of all necessary servicing, repairs, or corrections. Further to the above, the "Licensor" provides no warranty, guarantee, or makes any representations regarding the use of, or results of the use of, the soundware in terms of correctness, or otherwise. The "Licensee" relies on the soundware and results solely at his or her own risk. The "Licensor" provides a guarantee to the original "Licensee", that the media on which the soundware is stored is free from defects under normal use and service for a period of ninety (90) days from the date of purchase. The "Licensor's" entire liability and your exclusive remedy shall limited to the replacement of the soudware and documentation by the "Licensor". Except as provided above, the "Licensor" disclaims
all warranties of any kind, either expressed or implied, including
but not limited to the implied warranties of merchantability, performance,
and fitness for a particular purpose with respect to the soundware.
This warranty gives you specific rights; you may also have other
rights that vary from country to country and state to state. |

| Limitation of Liability
|
||
The "Licensor" shall not
be liable for any direct, indirect, consequential, or incidental
damages arising out of the use, the results of use, or inability
to use the soundware even if the "Licensor" has been advised
of the possibility of such damages or claim. Some countries or states
do not allow the exclusion or limitation of liability for consequential
or incidental damages, so the above limitation may not apply to
you. |
